  1. www.argentkingscross.com (the "Website") is a site operated by Argent (King's Cross) Limited ("Argent"). Argent is registered in England and Wales under company number 3965242 and has its registered office at 5 Albany Courtyard, Piccadilly, London W1J OHF.

  2. Argent is the owner or licensee of all intellectual property rights in any names, images and logos appearing on the Website and "Argent" is a registered trade mark.

  3. In consideration of the undertakings below, Argent hereby grants you, subject to paragraphs 4 and 5 below, a non-exclusive, royalty-free, perpetual, worldwide licence to copy, distribute, display and perform any of the images and logos on the Website (the "Materials") in any media (whether now known or coming into existence in the future) for the purposes of promoting the redevelopment and regeneration of the King's Cross area by the King's Cross development team including, among others, Argent (King's Cross) Limited.

  4. You hereby agree to use the Materials subject to the following restrictions:

    1. you may only use the Materials for the purposes set out in paragraph 3 above and only provided that you include the acknowledgment of the copyright owner appearing on the image or logo, in the exact same form and size, in any reproduction or distribution of the Materials by you;

    2. you agree not to use the Materials fraudulently or in any way which is misleading or suggests that Argent or any of the companies involved in the King's Cross regeneration project (the "Development Companies") endorse any product or service other than the King's Cross regeneration project;

    3. not to use the Materials to send spam or otherwise unsolicited content in breach of any applicable laws;

    4. not to use the Materials to defame or denigrate Argent, the Argent brand, the Development Companies, or any of their associated brands;

    5. not to use the Materials in competition with Argent or any of the Development Companies; and

    6. not to use the Materials unlawfully.


  5. To the fullest extent permitted by law, Argent and third parties connected to Argent, expressly disclaim all conditions and warranties and exclude all liability in relation to the Materials and any use of the Materials by you.
  6. Argent reserves the right to amend these terms and conditions at any time, including the right to terminate the licence granted at paragraph 3.
  7. These terms and conditions are governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English courts.
